1. Engagement & Scope of Work

LG Consultants, LLC ("Company") engages the Translator ("Contractor") as an independent contractor to provide professional translation and/or interpretation services on a project-by-project basis. Each project will be communicated via the Translator Network Portal and accepted by the Contractor's claim of that project. The Contractor is under no obligation to accept any project, and the Company is under no obligation to offer any minimum volume of work.

2. Independent Contractor Status

The Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of LG Consultants, LLC. The Contractor is solely responsible for all federal, state, and local taxes on compensation received, including self-employment taxes. The Contractor shall not be eligible for any employee benefits, including but not limited to health insurance, retirement plans, or paid leave.

3. Quality Standards

The Contractor agrees to:

• Provide translations that are accurate, complete, and true to the meaning of the source document.
• Maintain professional standards of grammar, terminology, and formatting in the target language.
• Flag any ambiguous, unclear, or culturally complex segments to the LG QA Team prior to delivery.
• Submit only work that is complete and ready for QA review. Incomplete or draft submissions are not accepted.
• Comply with any special instructions or style guides provided with each project brief.

4. Confidentiality & Data Security

The Contractor agrees to treat all client documents, personal data, and project details as strictly confidential. The Contractor shall not:

• Share, reproduce, or transmit source or target documents to any third party not authorized by LG Consultants.
• Use client information for any purpose other than completion of the assigned translation project.
• Store client documents beyond 30 days after project delivery without written authorization.
• Discuss or disclose client identity, case details, or document contents in any public or semi-public forum.

Violation of this section is grounds for immediate termination of this Agreement and may result in legal action.

5. Deadlines & Communication

The Contractor shall complete and submit all accepted projects by the deadline stated in the project brief. If a deadline cannot be met, the Contractor must notify Maria Ayuso at info@lgconsultants.co no later than 12 hours before the stated deadline so that the project may be reassigned without impact to the client.

6. Compensation & Payment Terms

Compensation is agreed upon on a per-project basis and is communicated at the time of project posting. Standard rates are:

• Certified Document Translation: Rate per word as listed in the project brief.
• Rush Projects (24-hour turnaround): 1.5× standard rate.
• QA Review / Proofreading: Flat rate or per-hour as agreed in writing.

Payment is issued within 15 business days of client payment receipt by LG Consultants. The Contractor must submit an invoice via the Translator Portal or to info@lgconsultants.co to initiate payment. LG Consultants issues payment via Bill.com. The Contractor will receive a payment request through the Bill.com platform to their email on file.

7. Intellectual Property

All completed translation work product is considered a "work made for hire" commissioned by LG Consultants, LLC on behalf of its clients. The Contractor assigns all rights, title, and interest in the completed translation to LG Consultants upon delivery and payment. The Contractor retains no right to reproduce, publish, or distribute the completed translation.

8. Non-Solicitation

During the term of this Agreement and for a period of 24 months thereafter, the Contractor agrees not to directly solicit or accept translation work from any client introduced through LG Consultants, LLC, without the express written consent of LG Consultants. This provision does not restrict the Contractor from independently marketing their services to new clients not introduced through LG Consultants.

9. Termination

Either party may terminate this Agreement at any time with 5 business days' written notice. LG Consultants may terminate immediately, without notice or obligation, in the event of: (a) breach of the confidentiality provisions; (b) submission of fraudulent or plagiarized work; (c) repeated failure to meet quality standards or deadlines; or (d) conduct that is unprofessional, discriminatory, or harmful to LG Consultants or its clients.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any disputes arising under this Agreement shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration in Howard County, Maryland.

11. Entire Agreement

This Agreement, together with any project-specific terms communicated in writing, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements. Any amendments must be made in writing and signed by both parties.
